Finding a Business Contract – Arizona
Have you ever tried to find a contract that you can use in your business? It could be a partnership contract, an employment contract, a customer terms and conditions contract, or even a purchase agreement contract.
Most people type in “business contracts” on Google and then get a mix of two options to choose from. One option is to use an online contract tool like Rocket Lawyer, Legal Zoom, or Legal Contracts. or you find a typical law firm that drafts business contracts. Unfortunately, there are big problems with both of these options that you should avoid.
Getting the right contract for your business comes down to three basic criteria that create the Best Business Contracts:
Part One: The contract is simple to read.
Part Two: The contract captures your unique business needs.
Part Three: The contract protects your interests.
Why is this so hard to find?
The Problem With Online Contracts
Using online business contracts initially seems like a great option for people. Because these contracts are written for the everyday consumer, they often easily meet Part One of the Best Business Contracts test. However, these online contracts fail to meet Part Two and Three of the test.
The primary reason for this is because online legal contract companies cannot provide you with legal advice so they cannot fully understand you/your unique business needs and they cannot create specific provisions that fully protect your business interests. This failure on their part is no secret. These online giants even say it on the bottom of their websites:
– Rocket Lawyer: Rocket Lawyer is not a “lawyer referral service” or a law firm, does not provide legal advice or representation (except in certain jurisdictions), and is not intended as a substitute for an attorney or law firm.
– Legal Zoom: We are not a law firm or a substitute for an attorney or law firm. We cannot provide any kind of advice, explanation, opinion, or recommendation about possible legal rights, remedies, defenses, options, selection of forms or strategies.
– Legal Contracts: We supply information and software and cannot provide legal advice, opinions, or recommendations. We are not a law firm or a substitute for an attorney.
So if these online legal contracts cannot capture your unique business needs and they cannot protect your interests, then does that give you peace of mind when you use those contracts?
The Problem With Typical Law Firms
Most people feel that if they go to a typical law firm for a business contract, then they will get the contract that has the Three Parts of a Best Business Contract. Unfortunately, typical law firms fail on Part One. And by failing on part one, they often fail to truly address Part Two and Part Three. This failure in Part One happens in part because typical law firms speak a different language than their client.
They speak legalese. Examples of legalese in contracts are phrases like this:
Whereas, the parties heretofore mentioned in Section 6.2 of attached Agreement hereby agree, affirm, and concur that the terms (as described in this agreement and any other agreement specifically referenced herein or any other document which the Vendor later identifies within a reasonable time frame to apply to this Agreement) is binding upon all parties and inures to the benefit of any and all predecessors, affiliates, subsidiaries, assignees, beneficiaries, except to the extent otherwise agreed by the parties, and that the consideration and exchange of the promises effectuated upon the signature of all authorized personnel (as deemed appropriate by the parties heretofore mention in Section 6.2 of the attached Agreement) are sufficient to consummate this transaction.
Because a client generally does not fully understand what a contract with a phrase like the one above says, it not only prevents Part One of the Best Contract from being achieved but also Part Two and Part Three of the Best Business Contract.
